Contract between The Gregath Publishing Company (hereinafter referred to as “Gregath”) and _____________________________________________ (hereinafter referred to as “author/copyright holder”), in regard to ______________________________________________ (hereinafter referred to as “book”).
1. The author/copyright holder grants to Gregath the right to produce in printed and/or E-Book form, advertise and market copies of the book worldwide and in their entirety;
2. The author/copyright holder shall supply Gregath with an original manuscript of the book with photos (if any) which Gregath shall retain and use as a reproduction master and which shall become the sole property of Gregath. Photographs will be returned to the author/copyright holder after Gregath has made copies and are not considered part of the reproduction master;
3. Gregath shall pay the author/copyright holder a royalty of fifteen percent (15%) of the profit from the book which shall be paid annually by the end of February for sales of the book for the calendar year immediately preceding;
4. The author/copyright holder, his/her estate, or successors shall be solely responsible for contacting Gregath in the event of a change of address or death.
5. This agreement constitutes the complete understanding of the parties. No modifications or waiver of any provision shall be valid unless in writing and signed by both parties;
6. The author/copyright holder represents and
warrants as follows:
a) he or she is the owner of the rights of the book and has
the full power to enter into this agreement;
b) the book does not violate or infringe upon any rights of
others, including personal or property rights of others;
c) the book does not infringe upon any copyright,
whether common law or statutory and
d) the book contains nothing libelous or otherwise
contrary to law
7. This agreement shall be binding on the successors and assigns of the parties;
8. the author/copyright holder or successors shall indemnify and hold harmless Gregath from any and all loss, damage, liability or expense arising from any breach of the foregoing representations and warranties. The terms of this paragraph shall survive the termination of this agreement and
This agreement may be terminated by either party upon ninety (90) days within written notice to the other. All inventory at termination date, shall be liquefied as outlined in article #3, until said stock is depleted.
